1. Introduction
1.1. These Terms and Conditions (“Terms”) govern access to and use of the Prufio platform, including:
1.1.1. the Prufio mobile application (the “App”);
1.1.2. the web dashboard available at www.prufio.com (the “Dashboard”);
1.1.3. all related services, infrastructure and functionality (collectively – the “Platform”).
1.2. The Platform is operated by Prufio, UAB, company code 307496139, registered address Senasis Ukmergės kel. 4, Užubalių k., LT-14302 Vilnius district, Lithuania. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
2. Definitions
2.1. For the purposes of these Terms:
2.1.1. “Account” means a user account created on the Platform.
2.1.2. “Consumer” means a natural person using the Platform for purposes outside their trade, business, craft, or profession.
2.1.3. “Business User” means a natural or legal person using the Platform for business, trade, craft, or professional purposes.
2.1.4. “Inspection Credit” or “Credit” means a digital usage right allowing the User to create an Inspection Request through the Platform in accordance with Section 20.
2.1.5. “Inspection Report” or “Report” means a structured report generated by the Platform based on data captured during an Inspection Session.
2.1.6. “User” means any person accessing or using the Platform, including both Consumers and Business Users.
2.1.7. “Unused Credit” means an Inspection Credit that has been purchased but has not yet been allocated to an Inspection Request created through the Platform.
2.1.8. “Used Credit” means an Inspection Credit that has been allocated to an Inspection Request created through the Platform. Used Credits are non-refundable, except where required by applicable mandatory law or provided in Section 17.
2.1.9. “Consumed Credit” means an Inspection Credit that has resulted in a completed Inspection Session and the generation of an inspection report.
2.1.10. “Inspection Request” means an inspection request created by a requesting User through the Platform and made accessible to another User through an Inspection Code or another access method supported by the Platform.
2.1.11. “Inspection Code” means a code generated through the Platform and made available to the requesting User for sharing with one or more Intended Recipients, enabling the relevant Inspection Request to be accessed or linked through the App. Only one Inspection Code is generated for each Inspection Request. An Inspection Code may be used only once to link the relevant Inspection Request. Following the first successful linking of the Inspection Request, the Inspection Code ceases to be valid for any other person, while the linked Inspection Request remains active. An Inspection Code also ceases to be valid when the related Inspection Request expires, is cancelled, or otherwise becomes inactive. Prufio may invalidate an Inspection Code before it has been successfully used where reasonably necessary to protect the security or integrity of the Platform. In that case, the related Inspection Request becomes inactive and the requesting User may create a new Inspection Request using the same Credit in accordance with Section 20.13.
2.1.12. “Inspection Session” means a process carried out through the App in connection with an Inspection Request, during which the Intended Recipient is presented with a structured sequence of steps and inspection data, which may include visual, audio, location, questionnaire, and other data, is captured and submitted through the Platform. An Inspection Session is completed when the Intended Recipient proceeds through all mandatory steps presented in the Platform, submits the session through the App, and the session is recorded by the Platform as completed.
2.1.13. “Intended Recipient” means any person whom the requesting User authorises to access or link the relevant Inspection Request or to perform the related Inspection Session, whether using an Inspection Code or another access method supported by the Platform.
2.1.14. “Reserved Credit” means an Inspection Credit that has been temporarily reserved for an active Inspection Request and cannot be used to create another active Inspection Request while the first request remains active.
3. Account and Access
3.1. Certain features of the Platform may require the creation of an Account.
3.2. An Account may be created
3.2.1. by entering an email address and password;
3.2.2. by using third-party authentication services, including Apple or Google, where such options are made available by the Platform.
3.3. The user is responsible for ensuring that all information provided during registration is accurate and up to date.
3.4. The user is solely responsible for maintaining the confidentiality of their login credentials and for all activity carried out through their Account.
3.5. If the user suspects unauthorized access to their Account or misuse of login credentials, the user must immediately notify Prufio at info@prufio.ravendev.lt.
3.6. Prufio shall not be liable for losses arising from the user’s failure to safeguard login credentials or prevent unauthorized use of the Account.
3.7. Users may request deletion of their Account in accordance with the Privacy Policy and any functionality made available on the Platform.
4. Description of the Service
4.1. Prufio provides a technological platform designed to facilitate remote verification and inspection of physical assets, including vehicles. The Platform enables users to:
4.1.1. initiate remote Inspection Sessions;
4.1.2. conduct structured inspection flows using the App;
4.1.3. capture media in real time through a controlled application environment;
4.1.4. collect technical signals and metadata related to Inspection Sessions;
4.1.5. generate structured inspection reports based on captured session data.
The Platform functions as a structured data capture and remote inspection support system.
5. Nature of the Service
5.1. The Platform does not provide professional inspection services. Prufio:
5.1.1. is not a vehicle inspection authority
5.1.2. is not a certification body
5.1.3. does not act as a vehicle seller, buyer, broker, or transaction intermediary. Inspection reports generated through the Platform are informational outputs based on captured session data.
5.2. The Platform does not guarantee:
5.2.1. the physical condition of any vehicle;
5.2.2. the authenticity of a vehicle;
5.2.3. the ownership of a vehicle;
5.2.4. the existence of a vehicle;
5.2.5. the accuracy of location data.
Users remain solely responsible for evaluating inspection results and making any related decisions.
6. No Guarantee of Accuracy
6.1. The Platform applies technical mechanisms designed to improve inspection reliability, including:
6.1.1. real-time media capture enforcement;
6.1.2. metadata binding;
6.1.3. session-based inspection flows;
6.1.4. location signal analysis;
6.1.5. device-level technical checks.
6.2. However, no technological system can guarantee the absence of manipulation, circumvention, or error. Accordingly:
6.2.1. Prufio does not guarantee the accuracy, completeness, or reliability of inspection data.
6.2.2. The Platform does not provide deterministic authenticity verification.
6.2.3. Inspection reports are generated automatically based on captured data.
Users must independently evaluate the information contained in any inspection report.
7. Automated Analysis Disclaimer
7.1. The Platform may apply automated analysis of captured session data, including:
7.1.1. location signals;
7.1.2. sensor data;
7.1.3. device integrity indicators;
7.1.4. location signal consistency patterns;
7.1.5. metadata consistency.
7.2. Such analysis produces verification indicators only.
7.3. These indicators do not constitute automated decision-making producing legal or similarly significant effects. The Platform does not make final determinations regarding authenticity, condition, or location of inspected assets.
8. Location Trust Score
8.1. The Platform may generate a Location Trust Score based on analysis of captured location signals and location signal patterns.
8.2. The Location Trust Score:
8.2.1. represents a probabilistic assessment of location consistency;
8.2.2. is based on automated analysis of session data;
8.2.3. is not a guarantee of geographic accuracy.
8.3. Users must not interpret the Location Trust Score as proof of the physical location of an inspected asset.
9. Inspection Session Recording
9.1. Inspection Sessions involve recording of various forms of data.
9.2. By initiating an Inspection Session, the user expressly agrees that the Platform may record and process:
9.2.1. video captured through the App;
9.2.2. audio recorded during inspection;
9.2.3. photographs taken during inspection;
9.2.4. GPS location data;
9.2.5. device sensor data;
9.2.6. timestamps and session metadata;
9.2.7. user inputs and responses during the inspection flow.
9.3. Recording occurs only during an active Inspection Session.
9.4. Location tracking and recording are not performed outside active Inspection Sessions.
9.5. Processing of such data is further described in the Privacy Policy.
10. Inspection Session Integrity
10.1. Inspection Sessions are intended to follow the structured inspection flow provided by the Platform.
10.2. The Platform may guide the user through predefined inspection steps and may require certain user interactions during the inspection process.
10.3. The Platform does not monitor or evaluate whether the inspection is performed correctly or in accordance with the suggested inspection flow.
10.4. The Platform records the media and session data generated during the Inspection Session but does not verify whether the inspected object is presented accurately or completely.
10.5. Users are solely responsible for evaluating the Inspection Session and determining whether the captured material is sufficient or reliable for their purposes.
10.6. Any answers, descriptions, comments, declarations, and other information entered in response to the inspection questionnaire or during the inspection flow are provided solely by the User performing the inspection and reflect only that User’s knowledge, understanding, and representations at the time of the inspection.
10.7. Prufio does not independently verify, investigate, validate, or endorse questionnaire responses or other statements provided by Users and does not guarantee their accuracy, completeness, truthfulness, or reliability. The inclusion of such information in an Inspection Report does not mean that it has been verified or confirmed by Prufio.
10.8. Users requesting inspections must independently verify any questionnaire response or other User-provided information that may be relevant to a transactional or financial decision and must not rely solely on such information.
11. Inspection Reports
11.1. Following completion of an Inspection Session, the Platform may generate a structured inspection report. Inspection reports may contain:
11.1.1. captured photos and videos;
11.1.2. timestamps of captured media;
11.1.3. session metadata;
11.1.4. inspection checklist responses;
11.1.5. location data recorded during the Inspection Session
11.2. Inspection reports:
11.2.1. are automatically generated;
11.2.2. are informational in nature and do not constitute expert opinions;
11.2.3. do not constitute technical inspection certificates. Users remain responsible for evaluating the inspection materials and making any decisions based on them.
11.3. Prufio does not guarantee that the inspected object shown in the media corresponds to the actual object offered for sale.
11.4. Users acknowledge that inspection reports are only a representation of the information captured during a specific Inspection Session and may not reflect the actual condition of the inspected object at any other time.
11.5. Users acknowledge that Inspection Reports are provided solely as informational tools to assist in evaluating an inspected object. Users remain solely responsible for performing any additional due diligence, verification, or independent inspection they consider necessary before entering into any transaction.
12. Report Availability and Sharing
12.1. Inspection reports may be accessible through the Platform and may also be shared through temporary report links generated by the Platform.
12.2. Public access to inspection reports through shared report links is generally available for up to three (3) weeks from the inspection submission date, unless the availability period is extended through the Platform.
12.3. After the public availability period expires:
12.3.1. public access to the report may be disabled;
12.3.2. the report may be marked as outdated;
12.3.3. the original inspection requester may retain limited access to the report through their account.
12.4. Prufio does not guarantee permanent storage or availability of inspection reports or media files.
12.5. Users may share inspection reports through links generated by the Platform. Users must not alter, modify, or present inspection reports in a misleading or deceptive manner.
13. Acceptable Use
13.1. Users must use the Platform only for lawful purposes and in accordance with these Terms.
13.2. Users must not:
13.2.1. use the Platform for fraudulent activities;
13.2.2. attempt to manipulate Inspection Sessions or misrepresent inspected objects;
13.2.3. upload or distribute unlawful, misleading, or harmful content;
13.2.4. interfere with or attempt to disrupt the operation or security of the Platform;
13.2.5. use an Inspection Code where the User knows or ought reasonably to know that it was not shared with them by, or with the authorisation of, the requesting User, or disclose an Inspection Code to another person except with the authorisation of the requesting User and where reasonably necessary for the relevant inspection;
13.2.6. attempt to reverse engineer, decompile, or otherwise analyze the Platform’s underlying software or technical mechanisms.
13.3. Any misuse of the Platform may result in suspension or termination of access.
14. Intellectual Property
14.1. All intellectual property rights in the Platform, including software, algorithms, design elements, and technical infrastructure, belong to Prufio or its licensors.
14.2. These Terms do not grant users any ownership rights in the Platform.
14.3. Users are granted a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purpose.
14.4. Users must not copy, reproduce, distribute, or commercially exploit any part of the Platform without prior written consent from Prufio.
14.5. Users grant Prufio a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, store, reproduce, process, analyse, and display any photos, videos, audio recordings, metadata, and other content generated or uploaded during Inspection Sessions for the purposes of operating, improving, securing, and developing the Platform and its services, including the right to use such materials for fraud detection, verification technologies, analytics, and training of automated systems.
14.6. Users acknowledge that certain inspection data, session metadata, and related materials may be retained by Prufio where reasonably necessary for fraud prevention, dispute resolution, platform security, legal compliance, or system integrity purposes.
15. User Responsibilities
15.1. Users are responsible for ensuring that any information, media, or statements provided during Inspection Sessions are lawful and do not infringe the rights of third parties.
15.2. Users conducting Inspection Sessions must ensure that they have the legal right to record and share the inspected object and related media.
15.3. Users requesting inspections remain solely responsible for verifying any information obtained through the Platform before making transactional or financial decisions.
15.4. Users providing questionnaire responses or other information during an Inspection Session must provide such information honestly and accurately to the best of their knowledge and must not knowingly provide false or misleading information or intentionally omit material information requested by the questionnaire.
15.5. The requesting User is responsible for sharing the Inspection Code or other access method only with one or more Intended Recipients through communication channels selected by the requesting User and must not publish or otherwise disclose it to unauthorised persons.
16. Payment, VAT and Invoices
16.1. Inspection Credits and other paid services available on the Platform may be purchased using the payment methods made available at the time of checkout.
16.2. All prices displayed on the Platform shall be shown together with any applicable taxes, including VAT, where required by applicable law, unless expressly stated otherwise.
16.3. For VAT purposes, the supply of digital services through the Platform shall be treated in accordance with the applicable tax laws and regulations.
16.4. Users are responsible for providing accurate billing and tax-related information when making a purchase.
16.5. Where made available by the Platform, users may access or download invoices or other purchase confirmations through their Account or by other means provided by Prufio.
16.6. Business Users are responsible for ensuring that any VAT number or business information provided to Prufio is accurate and valid.
16.7. Prufio may refuse to issue corrected tax documents where the user has provided incorrect billing data and fails to notify Prufio within a reasonable time.
17. Right of Withdrawal for Consumers
17.1. If the User is a Consumer, the Consumer has the right to withdraw from the purchase of Inspection Credits within fourteen (14) days from the date of purchase without providing any reason, subject to the conditions and exceptions set out in this Section 17 and applicable mandatory law.
17.2. For the purposes of withdrawal:
17.2.1. an Unused Credit may be refunded if the Consumer exercises the right of withdrawal within the fourteen (14) day period;
17.2.2. where the Consumer requests that performance begin before the expiry of the withdrawal period by creating an Inspection Request, and subsequently withdraws before the service has been fully performed, Prufio may require payment of an amount proportionate to the services supplied up to the time of withdrawal, to the extent permitted by applicable law.
17.3. By creating an Inspection Request, the Consumer expressly requests that Prufio begin performance of the digital service before the expiry of the withdrawal period. The Consumer acknowledges that, once the service associated with the relevant Credit has been fully performed, the right of withdrawal may be lost, provided that the requirements of applicable law for such loss have been met.
17.4. For the purposes of this Section 17, the service associated with an Inspection Credit is considered fully performed when the Inspection Session has been completed and the corresponding Inspection Report has been generated.
17.5. To exercise the right of withdrawal, the Consumer must notify Prufio by email at info@prufio.ravendev.lt with a clear statement of the decision to withdraw.
17.6. If withdrawal is validly exercised, Prufio shall refund all amounts due under applicable law using the same payment method used for the original transaction unless otherwise agreed with the Consumer.
17.7. The right of withdrawal does not apply to Business Users.
18. Consumer and Business Users
18.1. Certain rights and protections available under applicable consumer protection laws apply only to Consumers.
18.2. Business Users acknowledge that they use the Platform in a professional or commercial capacity and assume the risks associated with such use.
18.3. Business Users are responsible for independently assessing whether the Platform, Inspection Reports, and any related services are suitable for their specific business purposes.
18.4. Where permitted by applicable law, Business Users agree that the Platform is provided without any warranties other than those expressly stated in these Terms.
18.5. If separate commercial, enterprise, or subscription terms are agreed with a Business User, such terms shall prevail over these Terms to the extent of any inconsistency.
19. Platform Availability
19.1. The Platform is provided on an “as available” basis.
19.2. Prufio does not guarantee uninterrupted or error-free operation of the Platform.
19.3. The Platform may be temporarily unavailable due to maintenance, technical issues, or infrastructure limitations.
20. Inspection Credits
20.1. Access to Inspection Sessions on the Platform may require the purchase of inspection credits (“Credits”).
20.2. One Credit allows the User to create one active Inspection Request through the Platform at a time, under which one Inspection Session may be performed and, if that Inspection Session is completed, an Inspection Report may be generated.
20.3. Credits are digital usage rights and do not constitute a stored monetary balance or financial instrument.
20.4. Credits may be purchased through the Platform using the available payment methods.
20.5. Unless otherwise specified at the time of purchase (the “Validity period”):
20.5.1. Credits purchased by individual users (consumers) remain valid for six (6) months from the date of purchase.
20.5.2. Credits purchased by business users remain valid for three (3) months from the date of purchase unless different terms are specified in a separate business or subscription agreement.
20.6. Unused Credits expire automatically after the applicable Validity period.
20.7. Credits are non-refundable once purchased, except where required by applicable law:
20.7.1. For Business Users, purchases of Credits are final and non-refundable unless otherwise required by applicable law or expressly agreed in a separate written agreement.
20.8. When a User creates an Inspection Request through the Platform, the corresponding Credit becomes a Used Credit and may be temporarily reserved while the Inspection Request remains active. While a Credit is reserved, the User cannot create another active Inspection Request using the same Credit.
20.9. By creating an Inspection Request through the Platform, the User initiates the provision of the digital inspection service associated with the purchased Credit.
20.10. Subject to Section 17 and applicable mandatory law, Used Credits are not refundable, regardless of whether the Intended Recipient completes the Inspection Session.
20.11. If the Inspection Session is completed and a report is generated, the Used Credit becomes a Consumed Credit.
20.12. The Intended Recipient’s refusal or failure to complete an Inspection Session does not constitute a malfunction of the Platform and, except where required by applicable mandatory law, does not entitle the User to a refund or replacement Credit. Once a Credit becomes a Used Credit, it is not converted back to an Unused Credit.
20.13. However, if the Inspection Session is not completed, the User may create a new Inspection Request using the same Credit after the existing Inspection Request is cancelled, expires, or otherwise becomes inactive.
20.14. Inspection Requests are created through the Platform. The Platform generates one Inspection Code for each Inspection Request and may also provide another supported access method enabling an Intended Recipient to access or link the Inspection Request. Unless expressly stated otherwise on the Platform, Prufio does not send or deliver the Inspection Code or the Inspection Request to any Intended Recipient. The Platform may, however, additionally attempt to make the Inspection Code or the Inspection Request available to an Intended Recipient where the requesting User provides that recipient’s contact details, such as a phone number or email address; such delivery is not guaranteed, and sharing of the Inspection Code by the requesting User remains the primary method of transmitting the Inspection Request. The requesting User may share the same Inspection Code with one or more Intended Recipients through communication channels selected by the requesting User. The Inspection Code may be used to link the Inspection Request only once. If it is shared with more than one person, only the first person who successfully enters it in the App may link the Inspection Request and proceed with the Inspection Session. After that, the Inspection Code cannot be used by any other person. Completion of the Inspection Session depends on the cooperation of the person who successfully linked the Inspection Request.
20.15. If an Inspection Request is not accessed or linked, or the Inspection Session is not completed, within the time period specified by the Platform, or within a time period selected by the User where such functionality is available, the Inspection Request may expire and the User may create a new Inspection Request using the same Credit.
20.16. The requesting User may cancel an active Inspection Request at any time before the Inspection Session is completed. A cancelled Inspection Request becomes inactive, and the requesting User may create a new Inspection Request using the same Credit in accordance with Section 20.13.
20.17. Credits are linked to the user account and may not be transferred, sold, or assigned to third parties unless explicitly permitted by the Platform.
20.18. Credits cannot be redeemed for cash.
21. Inspection Responsibility
21.1. Users acknowledge that Prufio provides only a technological platform for capturing and presenting inspection data. Prufio does not participate in the sale, purchase, negotiation, or delivery of any inspected object. Any transaction related to an inspected object is conducted solely between the users involved, and Prufio shall not be considered a party to such transaction.
21.2. Prufio does not verify the identity, reliability, ownership, authority, or legitimacy of users or third parties participating in Inspection Sessions unless explicitly stated otherwise on the Platform.
21.3. Possession or use of an Inspection Code, or access to or linking of an Inspection Request through another access method supported by the Platform, does not constitute verification by Prufio of the identity, authority, ownership, reliability, or legitimacy of the person using that Inspection Code or access method, or confirmation that such person is the Intended Recipient.
21.4. Subject to Section 17 and applicable mandatory law, the use of a valid Inspection Code or another access method supported by the Platform to access or link an Inspection Request is sufficient for the Platform to permit the person using that code or access method to perform the Inspection Session. Any Inspection Session completed after the relevant Inspection Request has been accessed or linked using a valid Inspection Code or another access method supported by the Platform, and the resulting Inspection Report, will be attributed to the corresponding Inspection Request, and the related Credit will be treated in accordance with Section 20, irrespective of whether the person who accessed or linked the Inspection Request was the Intended Recipient. The requesting User bears the risk of use by any person to whom the Inspection Code is disclosed by the requesting User or by a person receiving it from the requesting User, or to whom the Inspection Code or the Inspection Request is made available by or through the Platform using contact details provided by the requesting User. This does not apply to the extent that the unauthorised use resulted from a security breach, technical defect, or other act or omission attributable to Prufio. Attribution under this clause does not constitute verification of the person’s identity, authority, ownership, reliability, or legitimacy for the purposes of Section 21.3.
22. Limitation of Liability
22.1. To the maximum extent permitted by applicable law, Prufio shall not be liable for any indirect, incidental, consequential, or economic damages arising from the use of the Platform.
22.2. This includes, but is not limited to:
22.2.1. financial losses related to vehicle purchases or other transactions;
22.2.2. reliance on inspection reports;
22.2.3. inaccurate, incomplete, delayed, or unavailable inspection data;
22.2.4. fraudulent actions, omissions, or misrepresentations of other users.
22.2.5. incorrect, delayed, failed, or unauthorised delivery, disclosure, or use of an Inspection Code where resulting from the actions or omissions of a User or third party.
22.3. Users acknowledge that inspection reports are informational tools only and that Prufio does not participate in any transaction between users.
22.4. To the maximum extent permitted by law, Prufio’s total liability arising from the use of the Platform shall not exceed the amount paid by the user for the specific Inspection Session related to the claim.
22.5. In relation to Business Users, and to the maximum extent permitted by applicable law, Prufio excludes all implied warranties, representations, and conditions not expressly stated in these Terms.
22.6. Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable mandatory law, including mandatory consumer protection law.
22.7. If the Platform fails to operate due to a verified technical malfunction attributable to Prufio, Prufio may, at its discretion, provide a replacement Inspection Session, additional Credits, or another reasonable service remedy instead of issuing a monetary refund.
23. Modification of the Platform
23.1. Prufio may modify, update, suspend, or discontinue any part of the Platform at any time.
23.2. Such changes may include modifications to inspection flows, reporting formats, technical features, or available functionality.
23.3. Prufio shall not be liable for any modification, suspension, or discontinuation of the Platform.
24. Suspension and Termination
24.1. Prufio may suspend or terminate user access to the Platform if the user violates these Terms.
24.2. Prufio may also suspend access where reasonably necessary to protect the security, integrity, or proper functioning of the Platform.
24.3. Users may stop using the Platform at any time.
24.4. Termination or suspension does not affect any rights or obligations that arose prior to such termination.
25. Changes to the Terms
25.1. Prufio may update or modify these Terms from time to time.
25.2. Updated Terms become effective upon publication on the Platform unless a later effective date is specified.
25.3. Continued use of the Platform after such updates constitutes acceptance of the updated Terms.
26. Eligibility
26.1. The Platform is intended for individuals who are legally capable of entering into binding agreements under applicable law.
26.2. By using the Platform, users confirm that they meet the legal age requirements applicable in their jurisdiction.
26.3. Business users confirm that they have the authority to act on behalf of the entity they represent.
27. Governing Law and Dispute Resolution
27.1. These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Lithuania.
27.2. If a user has any complaint or dispute related to the Platform or these Terms, the user should first contact Prufio at info@prufio.ravendev.lt and provide a description of the issue.
27.3. The parties shall attempt to resolve the dispute amicably within thirty (30) days from the date the complaint was submitted.
27.4. If the dispute cannot be resolved within this period, it shall be resolved in accordance with the laws of the Republic of Lithuania in the competent courts located in Vilnius, Lithuania.
